End User License Agreement (EULA)

PLEASE READ THIS AGREEMENT CAREFULLY.

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you (hereinafter "User" or "You") and Resolution Pro Ltd (hereinafter "Licensor", "We" or "Audeasy") governing the use of digital content (audiobooks and/or ebooks) purchased through the Audeasy platform.

By purchasing, downloading or accessing any Digital Content on the Platform, you confirm that you have read, understood and accepted the terms of this EULA. If you do not accept the terms of this Agreement, do not purchase or access the Digital Content.

1. Definitions

  • "Digital Content": the audiobooks (audio files) and/or ebooks (digital text files) made available for purchase on the Audeasy Platform, including any updates, supplements or ancillary materials.
  • "Platform": the website audeasy.com and related web applications through which Digital Content is distributed and consumed.
  • "Licence": the right of use granted to the User under this Agreement.
  • "Device": any computer, tablet, smartphone or other electronic device used by the User to access Digital Content through the Platform.

2. Grant of Licence

2.1 Scope of the Licence

In consideration of payment of the price indicated on the Platform, the Licensor grants the User a licence with the following characteristics:

2.2 What the Licence Includes

The Licence allows the User to:

  • Access and consume purchased Digital Content through the Platform, via streaming or, where available, download for offline listening/reading
  • Use the Digital Content on multiple personal Devices, provided that access is via the User's own Account
  • Listen to or re-read the Digital Content without time limits, for the duration of its availability on the Platform

2.3 What the Licence Does NOT Include

The Licence does NOT transfer ownership of the Digital Content. The User acquires only the right to consume the content in accordance with the terms of this Agreement. All intellectual property rights (copyright, related rights, trademarks, etc.) remain with the respective rights holders (authors, publishers, producers, narrators).

3. Restrictions on Use

The User agrees to comply with the following restrictions. A breach of any of them constitutes a contractual default and may result in immediate revocation of the Licence.

3.1 Prohibition on Reproduction and Distribution

The User may not:

  • Copy, duplicate or reproduce the Digital Content in whole or in part, on any medium
  • Distribute, publish, transmit, make available to the public or share the Digital Content with third parties, whether free of charge or for a fee
  • Upload the Digital Content to file-sharing platforms, social media, streaming sites or any other online service
  • Send the Digital Content by email, messaging or any other means of communication to third parties

3.2 Prohibition on Modification

The User may not:

  • Modify, adapt, translate or create derivative works from the Digital Content
  • Extract portions of audio or text to create new content (including remixes, compilations, audio summaries or transcriptions)
  • Use the Digital Content as a basis for creating content generated by artificial intelligence

3.3 Prohibition on Commercial Use

The User may not:

  • Use the Digital Content for commercial, promotional, advertising or profit-making purposes
  • Reproduce the Digital Content in public settings (events, commercial premises, radio/TV broadcasts, podcasts, YouTube channels or similar platforms)
  • Resell, rent or sublicense access to the Digital Content

3.4 Prohibition on Circumvention of Technological Protections

The User may not:

  • Remove, disable, circumvent or tamper with any technological protection measures (DRM) or security measures applied to the Digital Content or the Platform
  • Use software, scripts, bots or other automated tools to download, extract or copy the Digital Content outside the functionality provided by the Platform
  • Reverse engineer, decompile, disassemble or analyse the source code of the Platform or the Digital Content

3.5 Account Sharing

The Account is strictly personal. The User may not share their login credentials with third parties in order to enable the consumption of Digital Content. In the event that anomalous or simultaneous access from multiple devices suggests Account sharing, we reserve the right to temporarily suspend the Account and request verification.

4. Intellectual Property

The Digital Content is protected by copyright and related rights laws of the United Kingdom (Copyright, Designs and Patents Act 1988), the European Union and international conventions (Berne Convention, WIPO Treaties).

This Licence does not confer on the User any intellectual property rights in the Digital Content, the Platform, the Audeasy trademark or any other protected element. All rights not expressly granted in this Agreement are reserved to the Licensor and/or the respective rights holders.

5. Availability and Access to Content

5.1 Continued Access

We endeavour to guarantee access to purchased Digital Content for the duration of the Platform's operation. The User may access their Digital Content at any time through their Account.

5.2 Interruptions and Maintenance

Access to Digital Content may be temporarily interrupted for scheduled maintenance, technical updates or force majeure. We will make reasonable efforts to minimise disruption and, where foreseeable, inform Users in advance.

5.3 Content Removal

In exceptional circumstances, Digital Content may be removed from the Platform (e.g. expiry of distribution rights, court orders, or infringement of third-party rights). In such cases:

  • We will inform Users who have purchased the content with reasonable notice, where possible
  • We will make reasonable efforts to offer a solution (substitute content or a proportionate refund)
  • The User shall not be entitled to compensation beyond what is provided for in this Agreement and by applicable law

5.4 Service Discontinuation

In the event of the definitive discontinuation of the Audeasy Platform, we will inform Users with at least 60 days' notice and, where technically feasible, provide the ability to download purchased Digital Content before closure.

6. Breaches and Consequences

6.1 Licence Violation

In the event of a breach of this Agreement, the Licensor reserves the right to:

  • Immediately revoke the Licence and access to Digital Content, without refund
  • Suspend or close the User's Account
  • Take legal action for compensation of damages suffered
  • Report the breach to the competent authorities, where the breach constitutes a criminal offence

6.2 Piracy

The unauthorised distribution of Digital Content protected by copyright constitutes a civil and criminal offence under applicable laws, including the Copyright, Designs and Patents Act 1988 (UK), Italian Legislative Decree 633/1941, the Digital Millennium Copyright Act (USA) and applicable international conventions. Resolution Pro Ltd reserves the right to pursue any infringement through legal proceedings.

6.3 Reporting Violations

If the User becomes aware of acts of piracy or unauthorised distribution of Digital Content from the Platform, they are encouraged to report them to [email protected]. All reports will be treated confidentially.

7. Warranties and Limitations of Liability

7.1 Conformity Guarantee

We guarantee that Digital Content will conform to the description provided on the Platform at the time of purchase and be of satisfactory quality, as required by the Consumer Rights Act 2015 (UK) and applicable EU legislation.

7.2 Technical Defects

In the event of defective Digital Content (corrupted files, illegible audio/text, delivery errors), the User is entitled to:

  • Replacement of the defective content at no additional cost
  • A full refund, where replacement is not possible or the defect cannot be resolved

7.3 Limitation of Liability

To the maximum extent permitted by applicable law:

  • Digital Content is provided on the basis of the information available at the time of publication. We do not guarantee the accuracy, completeness or currency of content of an informational or educational nature.
  • We are not liable for damages arising from the use or inability to use the Digital Content, except in cases of wilful misconduct or gross negligence.
  • The Licensor's total liability to the User shall in no case exceed the amount paid by the User for the Digital Content that is the subject of the dispute.

7.4 Mandatory Rights

Nothing in this Agreement limits or excludes mandatory consumer rights under applicable law, including the Consumer Rights Act 2015 (UK), EU Directive 2011/83/EU and the Italian Consumer Code (Legislative Decree 206/2005). In the event of a conflict between this Agreement and mandatory consumer rights, the latter shall prevail.

8. Term and Termination

8.1 Term

This Agreement enters into force upon purchase of the Digital Content and remains in force indefinitely, subject to early termination as provided in this article.

8.2 Termination by the User

The User may terminate this Agreement at any time by closing their Account. Closing the Account results in the loss of access to all purchased Digital Content. No refund is provided for Digital Content already consumed.

8.3 Termination by the Licensor

The Licensor may terminate this Agreement and revoke the Licence with immediate effect, without obligation to refund, in the event of:

  • Breach of the restrictions on use set out in Article 3
  • Acts of piracy or unauthorised distribution
  • Fraudulent use of the Account or the Platform
  • Any other material breach of this Agreement

8.4 Effects of Termination

In the event of termination of the Agreement, for any reason:

  • Access to Digital Content will be immediately revoked
  • The User must cease all use of the Digital Content
  • Any local copies of Digital Content (files downloaded for offline use) must be deleted
  • The provisions relating to Intellectual Property (Art. 4), Restrictions (Art. 3), Limitation of Liability (Art. 7) and Governing Law (Art. 10) shall survive termination of the Agreement

9. Updates to this Agreement

We reserve the right to amend this EULA at any time. Changes will be communicated through the Platform and/or by email with at least 15 days' notice.

Continued use of the Platform and Digital Content after the changes take effect constitutes acceptance of the updated Agreement. If the User does not accept the changes, they may terminate the Agreement in accordance with Article 8.

10. Governing Law and Jurisdiction

This Agreement is governed by the laws of England and Wales.

If the User is a consumer resident in the European Union or the European Economic Area, the choice of English law does not deprive the User of the protection afforded by the mandatory provisions of the law of their country of residence.

For any dispute arising from this Agreement, the competent court shall be that of the consumer's place of domicile or residence, where applicable law so provides as a mandatory right. In all other cases, the courts of London (England) shall have jurisdiction.

11. Final Provisions

11.1 Entire Agreement

This Agreement, together with the Terms & Conditions, Privacy Policy and Cookie Policy of the Platform, constitutes the entire agreement between the User and the Licensor in relation to the Digital Content.

11.2 Severability

If any provision of this Agreement is held to be invalid or unenforceable, this shall not affect the validity and effectiveness of the remaining provisions.

11.3 Assignment

The User may not assign or transfer the rights arising from this Agreement without the prior written consent of the Licensor. The Licensor may assign this Agreement to subsidiaries, affiliates or successors without the User's consent.

11.4 Language

This Agreement is drafted in English. In the event of translation into other languages, the English version shall prevail in the case of discrepancies.
